The one thing
Two filings this morning settle last week’s argument about who pays for the AI build-out. Meta filed to sell $22.5bn of common stock and about $12.5bn of mandatory convertible preferred, and plans up to $60bn more through an at-the-market programme next year. Nvidia, AMD and Broadcom have indicated non-binding interest in buying up to $5bn of the common between them. At 09:00 ET Anthropic’s S-1 went live on EDGAR: revenue of $16.3bn in the first half of 2026, against $1.2bn a year earlier, and an operating margin of 8% in the second quarter. The largest buyer of compute is now going to public equity, and so is the lab that buys it. For the neoclouds, the backdrop worsened: Elon Musk wrote on Sunday that debt markets have “almost entirely shut off” lending to companies that depend on AI data centres.
Friday 23 October closes: S&P 500 7,623.68 (−0.52%), Nasdaq Composite 25,955.34 (−0.21%), Dow 52,215.16 (−1.23%). Fed decision Wednesday; Microsoft, Alphabet, KLA, SK hynix Wednesday; Amazon and Intel Thursday, with Samsung’s call late Wednesday ET. This is the heaviest week of the quarter for the coverage list.

SK hynix says no decision on a special dividend; return measures come with Wednesday’s results
Responding to a Dong-A Ilbo report of a special dividend of about KRW16tn funded by gains on its Kioxia stake, SK hynix said it is reviewing shareholder return measures but that nothing has been decided. It will announce additional measures, subject to board approval, with its third-quarter results on 28 October. Early in Seoul’s session SK hynix was reported up about 2.6% while Samsung fell about 1%; reports disagree on where the Kospi closed.
The read: A memory maker considering returning cash at the top of the cycle is a different signal from the hyperscalers raising it. If the dividend comes, it tells you how SK hynix sees the cycle; the SK hynix study is the place to frame it.

Musk says debt markets have shut neoclouds out; CoreWeave, Nebius and IREN fall premarket
Musk wrote on X that “debt markets have almost entirely shut off access to money” for companies without substantial revenue independent of AI data centres, and that the 200-plus neoclouds face “guppy-level death and consolidation”. He said SpaceX had raised $40bn of debt for GPUs and was not in that category, and that SpaceX had no interest in buying a neocloud. CoreWeave, Nebius and IREN were down more than 4% in early premarket trading. Later reports differ: CoreWeave down 2.7–4.5%, Nebius 3.2–3.4%, IREN 3.0–3.3%. Applied Digital and DigitalOcean were also reported lower.
The read: The statement comes from a competitor with a $40bn debt package of its own, so treat it as positioning as much as analysis. The evidence that matters is already in the market: CoreWeave’s credit default swaps at distress levels this month and Nebius’s $3.5bn Citi bridge loan at SOFR plus 2.75%. Tie it to the CoreWeave study’s maturity wall.

Meta files for $35bn of equity now and plans a $60bn at-the-market programme in 2027
The prospectus supplement offers $22.5bn of Class A common stock through forward sales with Morgan Stanley and Goldman Sachs (plus a $3.375bn option), and about $12.5bn of mandatory convertible preferred converting around 15 August 2029. Meta will not receive cash from the common until the forwards settle, on or before 19 November 2027; proceeds are for general corporate purposes. Nvidia, AMD and Broadcom have each indicated interest in buying shares, up to $5.0bn in total, and the filing says the interest is not binding. Meta’s press release adds a planned at-the-market programme of up to $60bn in non-voting Class C shares, not expected to start before the first quarter of 2027 (the Class C charter change takes effect 19 January 2027). The ~$95bn total is $35bn plus $60bn; the release does not print it. Premarket reports range from up 1.6% to up 2.4%, after an earlier dip; the stock fell 9.4% last week.
The read: This is the cleanest example yet of circular financing: three of Meta’s chip suppliers may buy its stock so that Meta can buy their chips. It also answers last week’s question. When capex runs ahead of operating cash flow, Meta funds it with equity, not bonds. Worth a chart of capex against operating cash flow and the new equity layer.

MercadoLibre drops 13–15% premarket after Lula wins Brazil’s runoff
Lula won the 25 October runoff with about 51.8% of valid votes against Flávio Bolsonaro’s 48.2%; Bolsonaro says he will challenge the result. The Brazil ETF (EWZ) was reported down 25–28% premarket, and reports of the real’s fall against the dollar range from 8% to 12%. MercadoLibre was reported down 13–15% premarket. Brazil supplied $15.2bn of MercadoLibre’s $28.9bn of 2025 net revenues and financial income.
The read: The question for MercadoLibre is currency, not demand: a weaker real cuts dollar-reported revenue and raises funding costs in the credit book. The MercadoLibre study already shows provisions above operating income, so that is the line to stress-test.

Anthropic files its S-1: $16.3bn first-half revenue, profitable at the operating line in the second quarter
Anthropic, PBC has applied to list Class A shares on the Nasdaq Global Select Market under “ANT”, with Goldman Sachs and Morgan Stanley leading. The price range is blank. Revenue was $41m in 2023, $386m in 2024 and $4.6bn in 2025, then $16.3bn in the first half of 2026 against $1.2bn a year earlier. Second-quarter revenue was $11.6bn and the operating margin 8%, against −152% a year earlier. The first-half operating loss was $693m, a margin of −4%. The net loss of $80.7bn includes $72.4bn from revaluing convertible notes and SAFEs as the company’s value rose. Sales through cloud-provider marketplaces were 48% of first-half revenue. Total debt was $6.2bn at 30 June. Run-rate revenue and the total of compute commitments are left blank. Bloomberg says marketing could start as soon as the week of 9 November.
The read: The headline net loss is an accounting effect; the operating line is the number to publish. Two things to set against the study: first, revenue is now GAAP, not run-rate, and the S-1 defines run-rate as 28 days of usage times 13; second, almost half of revenue flows through AWS, Google Cloud and Azure, which ties Anthropic’s numbers to the hyperscaler prints on Wednesday and Thursday. Update the Anthropic study, and do not use the run-rate until the figure is filled in.
No new primary news; the reported round of up to $30bn is still unsigned
Reports continue to describe a round of up to $30bn; valuation figures differ by outlet ($1.25tn and about $1.4tn). Nothing has been announced.
The read: Anthropic’s S-1 now gives the first audited benchmark for a frontier lab. Any OpenAI valuation will be compared with it.
Quiet this run: Networking & optical; Power & data-centre infrastructure; SaaS & enterprise software; Hardware & devices. Apple was reported down 1–2% premarket with no specific news found.
Capex guidance · full-year 2026, $bn
Carried from the 25 October edition and not re-checked today; Microsoft and Alphabet update on Wednesday and Amazon on Thursday. Amazon: about $220bn (secondary summary). Alphabet: $195–205bn, midpoint shown. Meta: $135–145bn, midpoint shown. Microsoft (fiscal year to June) and Oracle (fiscal year to May) are left off because sources conflict. Nvidia and Broadcom do not guide total capex on this basis.

Story worth owning
Anthropic’s revenue is the hyperscalers’ revenue. The S-1 says 48% of first-half revenue came through cloud-provider marketplaces, and Anthropic buys its compute from the same three clouds. This week Microsoft, Alphabet and Amazon report cloud growth that may include marketplace sales of Claude (how each one books them is not disclosed), while Anthropic’s compute bill flows back to them as revenue. Nobody independent has measured how much of Azure, Google Cloud and AWS growth is Anthropic in both directions. The S-1 gives one side; the cloud prints on Wednesday and Thursday give the other. It fits the Anthropic study and the hyperscaler footprint work, and it is the circular-financing argument with numbers attached.
