S&P Global says the hyperscalers carry more AI debt than anyone can see. Overnight Seoul fell 3.7%, SoftBank 6% with its credit swaps at a four-year high, and Nscale is reported close to a second $45bn deal with Anthropic.

CoreValue Coverage Brief - daily newsletter

The one thing

Monday’s chip bounce did not reach the credit, and overnight the credit came back. In New York the Philadelphia Semiconductor index rose +1.61% to 11,316.34, ending an eight-session losing streak, and Amazon made +4.98% on a Morgan Stanley top-pick call; but CoreWeave gave up its early gains and closed −0.44% at $61.12 on the day Goldman upgraded it, and roughly 70% of S&P 500 stocks fell (Yahoo live blog). Late Monday Reuters carried the line that matters for every financing model we run: S&P Global’s head of digital infrastructure, Mark Habib, said “it is safe to assume that there is more (debt) out there that we are not seeing”, because hyperscalers effectively guarantee data-centre builds and smaller AI companies through structures that sit outside their disclosures. S&P sees no rating changes now and expects Amazon, Microsoft, Alphabet, Oracle, Meta and SpaceX to spend more than $7tn on AI capex in 2025–2030, with negative free cash flow until at least next year.

Asia took the hint. The Kospi closed −3.73% at 5,552.74, with SK hynix −4.23% and Samsung −2.98% on foreign selling; SoftBank fell −6.01% to ¥4,554 as its five-year CDS reached 432bp, the highest since November 2022, on AI-funding strain and a possible ~$18bn Allied Universal purchase (Bloomberg, 16 Oct). Two reports cut the other way on demand: Reuters says ByteDance, Alibaba and Tencent have ordered more than 3m Nvidia RTX PRO 5500 cards worth over $35bn, of which Nvidia may fill only 5–10%; and Bloomberg says Nscale is in talks to sell Anthropic a second ~$45bn of capacity at its West Virginia campus, three days after the Telegraph reported Microsoft had walked from Nscale’s Essex site. Demand is not the question the market is asking; who carries the debt is.

Macro. Monday: S&P 500 +0.41% to 7,690.73, Nasdaq +1.11% to 26,430.89, Dow −0.07% to 51,966.03. The 10-year closed at 5.15%, up from 5.09% on Friday (Treasury par curve). Brent is near $110–111, a five-month high, after Houthi-claimed strikes on Saudi energy sites that Saudi Arabia has not confirmed, plus mine and drone attacks on Gulf shipping (CNBC/Reuters). China’s third-quarter GDP grew 4.5%. Futures at ~06:07 ET: S&P −0.24%, Nasdaq-100 −0.70% (Yahoo). Today: housing starts and permits 08:30 ET; Netflix and SpaceX after the close. Asia: TAIEX −1.13%, TSMC −0.62% to NT$2,405; Nikkei −1.30%. Frankfurt: Infineon −3.52%.

The SOX ends its eight-day fall; overnight Seoul gives it back, SK hynix −4.2%, and the US memory names are lower again pre-market

SKHY · 005930.KS · MU · SNDK · WDC · CBRS · NY close Mon 19 Oct, 16:00 ET; Seoul close Tue 20 Oct, 02:30 ET (15:30 KST); Taipei close 01:30 ET; TipRanks/TradingKey pre-market Tue

Monday’s bounce was led by the names that fell hardest last week: Western Digital +6.09% to $352.21, Sandisk +5.53%, SK hynix’s US listing +4.67%, Marvell +4.06%, Lam +3.13%, Micron +2.97% to $904.90, Intel +2.43%, AMD +1.76%, Nvidia +1.38%. Cerebras went the other way, −5.15% to $120.66, a new post-IPO low below the $185 offer price. Overnight the Kospi closed −3.73% at 5,552.74, having traded below 5,600 intraday; SK hynix −4.23% to ₩1,223,000 (intraday reports put it down more than 7%), Samsung −2.98% to ₩211,500. For the day foreigners net sold ₩530.3bn and institutions about ₩1.0tn (Digital Today); outlets cite AI-capex profitability doubts and elevated US yields, and for SK hynix the possible US listing of its NAND unit Solidigm, which Korea’s Financial Supervisory Service has said would breach dual-listing rules (Seoul Economic Daily). TAIEX −1.13%, TSMC −0.62% to NT$2,405, MediaTek −1.31%. Pre-market TipRanks has Micron −2.47%, Sandisk −2.96%, the SK hynix ADR −4.68%, AMD −1.96%, Intel −1.74%, Nvidia −0.59%.

Micron. The Taoyuan union says it will strike on Thursday 22 October, the day Micron’s separate Taichung union goes to mediation; it has not said how long the stoppage lasts. The unions want a one-off bonus of 83 months’ salary and a standing 15% of operating profit paid quarterly; Micron’s offer is described as a 35–68-month rewards package that it says is separate from the bonus dispute; the one-off was rejected. 1,994 of 2,012 ballots (99%; 88.3% of all members) backed a strike. Micron says it will respond; Reuters reports no production disruption so far (Reuters via The Star and Free Malaysia Today, 20 Oct).

The read: For our SK hynix and Samsung studies, Seoul has now reversed the US chip tape two days in three; Korea is trading the memory names as the AI-capex credit trade, not as memory-price exposure. The 27–28 October prints will set that straight one way or the other. For Micron, a strike at the Taoyuan DRAM fab during the tightest DRAM market on record is a supply story before it is a cost story; the 83-months-of-salary demand is the first time the AI cycle’s profit pool has been priced by labour.

Reuters: ByteDance, Alibaba and Tencent order 3m+ Nvidia RTX PRO 5500 cards, over $35bn at list; Nvidia warns it may fill 5–10%. Also: Broadcom’s 10-year DOCOMO deal, Intel’s FCC robot waiver

NVDA · BABA · AVGO · INTC · Reuters exclusive, Tue 20 Oct (overnight ET); Broadcom release 20 Oct; Bloomberg 19 Oct

Per Reuters’ sources, the three ordered more than 3m RTX PRO 5500 workstation cards at about $11,400 each, a potential combined value above $35bn. Nvidia has told customers it cannot guarantee delivery because Chinese demand far exceeds planned production; one source said partners may receive 5–10% of requested quantities, and Nvidia indicated it can make no more than 3m of the cards worldwide in 2027. Total orders from China exceed 6m cards. The part is not currently restricted for export. Nvidia had not commented in the reports we read. A Stocktwits headline of “$70bn” extends the figure to unnamed buyers and is not in Reuters. Broadcom announced a 10-year agreement to run NTT DOCOMO’s private cloud on VMware Cloud Foundation (with Avi, vDefend, Tanzu), its first such 10-year deal in Japan; terms undisclosed (GlobeNewswire). Intel petitioned the FCC on 16 October (docket 26-256) for a waiver so the automated guided vehicles in its fabs, caught by the ban on foreign-made advanced robots, keep running and receive updates; it warns a switch to a domestic supplier would take years (Bloomberg, Tom’s Hardware).

The read: For our Nvidia study, this is an order book, not revenue: a 5–10% fill rate on $35bn is $1.75–3.5bn, and the binding number is the 3m-unit 2027 production cap. The useful point is that China’s buyers are queuing for a workstation part because it is the best they can legally get; any change in US export policy on this SKU becomes a revenue line. For Alibaba, it is the first concrete read on its 2027 compute procurement since the summer. For our Broadcom study, a ten-year VMware term is the clearest evidence yet that the post-acquisition licence model is converting to long-dated contracted revenue; for Intel, the FCC filing is a reminder that “onshoring” policy can hit the fab floor before it helps it.

Hyperscalers & neoclouds

S&P Global: the hyperscalers likely carry more AI-linked debt than is known; no rating changes now; $7tn of capex 2025–30

MSFT · GOOGL · AMZN · ORCL · META · SPCX · Reuters (Marc Jones, London), Mon 19 Oct

Speaking at a London roundtable, Mark Habib, S&P Global’s head for digital infrastructure, said interconnected financing, in which hyperscalers effectively guarantee large data-centre builds or those of smaller AI companies, means some liabilities are not in their disclosures, and S&P may lack visibility where it does not rate the transaction. S&P has no estimate of the amount. He said there is no “major disconnect” between ratings and the sell-off in AI-build-out bonds that would force changes now; the main ratings risk is that expected profits fail to arrive, and a sign would be spending that is no longer sustainable. S&P expects Amazon, Microsoft, Alphabet, Oracle, Meta and SpaceX to spend more than $7tn on data centres and AI capex in 2025–2030 and to have negative free cash flow until at least next year. It cut Oracle to BBB- in July. On Monday Amazon rose +4.98% to $262.45 after Morgan Stanley’s Brian Nowak made it a top pick (Overweight, target $350 from $335; 24/7 Wall St., MarketBeat); Microsoft +0.84%, Alphabet +1.05%, Oracle +1.06% to $129.59.

The read: This is the first time a rating agency has said in public what our financing work has argued since the summer: the leverage of the AI build-out sits in the counterparties, not on the hyperscalers’ balance sheets. For our Oracle, Microsoft and Alphabet studies, the footnotes to check are leases signed but not yet commenced, residual-value guarantees and capacity-offtake commitments; they are the closest thing in a filing to the guarantees Habib describes. See “Story worth owning”.

CoreWeave gives back Goldman’s upgrade and closes down; SoftBank falls 6% as its CDS hits 432bp; Nscale in talks on a second $45bn Anthropic deal

CRWV · SFTBY · APLD · NBIS · MSFT · NY close Mon 19 Oct, 16:00 ET; Tokyo close Tue 20 Oct, 02:30 ET; Bloomberg on Nscale Mon 19 Oct, Reuters follow Tue 20 Oct

CoreWeave traded as high as $65.92 after Goldman’s upgrade to Buy (target $106 from $139) and closed −0.44% at $61.12, flirting with a new 52-week low intraday (Yahoo). The rest of the neoclouds held gains: Applied Digital +6.65%, TeraWulf +3.25%, Nebius +2.88%, IREN +2.74%. In Tokyo SoftBank fell −6.01% to ¥4,554 and was the largest drag on the Nikkei; its five-year CDS widened to 432bp, the highest since November 2022 and the widest of any major Japanese company (Quartz, TokenPost). Bloomberg Intelligence’s Sharon Chen says an Allied Universal purchase would need fresh funds and could push loan-to-value toward SoftBank’s 25% cap. Nscale. Bloomberg (Monday evening), followed by Reuters on Tuesday, reports Nscale is in talks to sell Anthropic about $45bn of capacity from a second building at its Monarch campus in West Virginia: 460 MW on Nvidia Vera Rubin; a deal could be signed within days; Anthropic has first refusal on a third building (one Reuters-sourced account says first negotiation); Nscale would still have to finance the chips. Anthropic’s first Monarch deal (August) was ~$45bn for 460 MW over six years; the IPO filing puts it at $44.6bn. No one has commented.

The read: For our CoreWeave study, an upgrade that cannot hold a 6% pre-market gain through the close says the marginal seller is a credit holder, not an equity bear. For our Nscale study, the sequence matters: Microsoft leaves the Essex site, and within days Anthropic doubles up in West Virginia, where power exists. Concentration rises (Anthropic was already one of two customers holding ~85% of contracts) and so does the financing need, because the GPUs for a second building are not yet funded. For SoftBank, the CDS is now pricing the OpenAI commitment and an $18bn acquisition on the same balance sheet; Reuters says SoftBank is in talks to join OpenAI’s accelerated round (below).

Power & data-centre infrastructure

No company news; the rate-sensitive names fell as the 10-year rose. Constellation −3.01%, Dominion −2.12%, NextEra −2.04%, AEP −1.90%, Digital Realty −1.69%, Vistra −1.53%, GE Vernova −1.39%; Bloom +2.22%. NextEra reports tomorrow pre-market (webcast 09:00 ET), Bloom Thursday after the close.

SaaS & enterprise software

Friday’s consumption-priced losers bounced hardest. Datadog +5.36% to $260.36 on Monday’s Bernstein call, Palantir +4.36%, MongoDB +3.29%, Snowflake +2.77%, Zscaler +2.48%, ServiceNow +2.39%. SAP reports tomorrow after the US close.

Ads & adtech

Netflix reports today; Trade Desk’s vote result not yet filed. Netflix (−0.96% to $69.85) reports at 16:01 ET, interview 16:45 ET. Trade Desk’s special meeting on repricing up to 15.6m underwater options was held Monday; no result has been published yet, and the 8-K is due within four business days. Meta (−0.55%) reports Wednesday after the close and is on S&P’s $7tn list; Newsquawk reports Australia is preparing legal action against Meta, Alphabet’s YouTube, Snap and TikTok under its under-16 ban, timing open.

Hardware & devices

Loop Capital cuts Apple to Hold. Ananda Baruah moved Apple to Hold from Buy and cut the target to $330 from $370, seeing no recovery in reduced iPhone shipments (Investing.com, CNBC); about −1% pre-market. Apple closed −0.15% at $342.94 on Monday, already below the new target. FQ4 results Mon 2 Nov. Dell +0.83%, HPE +1.34%, Super Micro +1.49%.

Space & mobility

SpaceX reports after the close. Audio webcast 16:30 ET. Consensus revenue is ~$12.9bn (Bloomberg; LSEG via Reuters ~$12.7bn, EPS ~$0.14), against Q2 revenue of $7.81bn, when AI capex was reported at $15.8bn; a profit would be the first since the June listing. SPCX +1.32% to $147.96; Tesla +3.76% to $368.06 ahead of Wednesday. For our SpaceX study, S&P has just put SpaceX on its list of $7tn hyperscaler spenders; the AI segment’s capex and free cash flow, not Starlink, decide how the Day-135 lock-up (~24 Oct) trades.

Private labs

OpenAI races Anthropic’s IPO for the same money. Reuters reports OpenAI is accelerating a ~$30bn round that could value it above $1.4tn, aiming to lock commitments before Anthropic’s expected mid-November listing; SoftBank, MGX and other existing backers are in talks to join; terms are not final. Anthropic is reported (Bloomberg, Reuters) in talks for a second ~$45bn Nscale deal (above), while Bloomberg says some investors have urged it to lower its IPO valuation target; Reuters reported on 16 October that investors had discussed ~$1.5tn against ~$2tn expected. EDGAR shows no S-1 or F-1 yet. Anthropic’s 5% Public Benefit Fund pledge (Sunday) is confirmed by Axios and Fox. For our Anthropic and OpenAI studies, the two labs are now competing for the same handful of balance sheets (SoftBank, MGX) in the same month that SoftBank’s own credit is at a four-year worst.

Story worth owning

The debt S&P can’t see is in the footnotes: a register of hyperscaler commitments that have not yet hit the balance sheet

S&P Global’s Mark Habib said on Monday that the hyperscalers likely carry more AI-linked liabilities than anyone knows, and that S&P has no estimate. Nobody independent has tried to build one, and much of it is already in public filings. Each hyperscaler’s 10-K and 10-Q discloses leases signed but not yet commenced, purchase obligations, and in some cases residual-value guarantees on build-to-suit sites; the counterparties’ filings (CoreWeave’s credit agreements, Nscale’s draft registration statement, Oracle’s project-finance disclosures, the Meta and Blue Owl Hyperion vehicle) show the other side of the same contracts. Today’s news supplies the live case: Anthropic is reported close to a second ~$45bn Nscale deal whose GPUs Nscale has not yet financed, three days after Microsoft walked from an Nscale site.

The piece: for Amazon, Microsoft, Alphabet, Meta and Oracle, tabulate from the last two filings (1) leases not yet commenced, (2) non-cancellable purchase and capacity commitments, (3) guarantees, and set them against reported capex and S&P’s $7tn; then match the largest items to the counterparty’s own filings to show who holds the debt. The output is a single table of disclosed-but-off-balance-sheet AI obligations per hyperscaler, which is the number S&P says it cannot see. It ties together our Oracle, Microsoft, CoreWeave, Nscale and Meta work and lands a week before Microsoft, Alphabet, Meta and Amazon file their next 10-Qs.
